10.1 Purpose of Lifetime Purchases
Pro Audio Training Academy may offer a Lifetime Purchase as an alternative to recurring subscription plans.

Individual features may occasionally become obsolete due to:
- technological advances;
- security concerns;
- changes in industry standards;
- third-party platform limitations;
- educational improvements;

- fraud;
- stolen payment methods;

The Academy cannot independently override refund decisions made by third-party marketplaces.

This provision applies only to claims resulting from the User’s own conduct and not to claims arising from the Academy’s independently created materials.
28.9 Defense of Claims
Where indemnification applies, the Academy reserves the right to assume the exclusive defense and control of any matter subject to indemnification.
If the Academy elects to do so, the User agrees to:
- cooperate in the defense;

A party seeking informal resolution should provide written notice describing:

Nothing in these Terms prevents either party from bringing an eligible claim in a court having jurisdiction over small claims matters where permitted by applicable law.
29.7 Venue
If a dispute proceeds in court rather than arbitration, and unless applicable law requires otherwise, the parties agree that exclusive venue shall lie in the state or federal courts located in San Diego County, California.
Each party consents to the personal jurisdiction of those courts.
29.8 Time Limitation
To the fullest extent permitted by applicable law, any claim arising out of or relating to the Services must be commenced within one (1) year after the claim first arose or reasonably should have been discovered.

Except where prohibited by applicable law or otherwise ordered by a court or arbitrator, each party shall bear its own attorney’s fees and litigation expenses.
Nothing in this Section limits the Academy’s right to recover attorney’s fees where expressly authorized by statute, court order, arbitration award, or another provision of these Terms.
29.12 International Users
Users accessing the Services from outside the United States acknowledge that they do so voluntarily.
Users remain responsible for complying with the laws applicable within their own jurisdiction.
Nothing in this Section limits mandatory consumer protections that cannot legally be waived under applicable law.
29.13 Severability of Dispute Provisions
If any provision of this Section is determined to be unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.
The unenforceable provision shall be interpreted or modified only to the extent necessary to make it enforceable while preserving its original intent whenever possible.
29.14 Good Faith Resolution
